I got about the same response:
[root at server3 usr]# lsof -n | grep TCP.*ftp
xinetd 4951 root 5u IPv4 57165 TCP
*:ftp (LISTEN)
Restarted sendmail (got no mailscanner yet), also no result.
When I look at the warning again I see that xinetd is starting proftpd. So
that warning should be fixed somewhere there I guess.
I changed the servername from "ProFTPD server" to "MyProFTPD server" in
/etc/proftpd.conf to check if it uses that config file.
May 27 20:37:54 server3 xinetd[4951]: START: ftp pid=9775 from=83.98.206.*
May 27 20:37:54 server3 proftpd[9775]: warning: "ProFTPD" address/port
(83.98.206.*:21) already in use by "MyProFTPD server"
May 27 20:37:54 server3 proftpd[9775]: server3 (83.98.206.*[83.98.206.*]) -
FTP session opened.
May 27 20:37:54 server3 proftpd[9775]: server3 (83.98.206.*[83.98.206.*]) -
FTP session closed.
May 27 20:37:54 server3 xinetd[4951]: EXIT: ftp status=0 pid=9775
duration=0(sec)
Is everybody getting these warning upon ftp connection? Should I just ignore
this warning? Then that's fine by me, I'd just like to know what it is.

I too have seen these in my logwatch messages for some time... have been
trying these suggestions. Here is the result from my box:
[root at box1 ~]# lsof -n | grep TCP.*ftp
xinetd 3154 root 5u IPv4 9513 TCP
*:ftp (LISTEN)
[root at box1 ~]#

If it is not proftpd, it must be another app misbehaving....
lsof -n | grep TCP.*ftp
Try the above command - and see what it finds. You should only see xinetd
running on that port.
